Each Venture Partner, Principal and Advisor shall indemnify, defend and hold harmless other Venture Partners, Principals, Advisors and Vine Ventures Corporation ("the Company") and its affiliates, directors, officers, employees, consultants and agents from and against all losses, liabilities, damages, settlements, claims, actions, suits, penalties, fines, costs or expenses to the extent relating to a Third Party claim, action or demand arising from his/her own actions. Unless specified in written contracts signed by the Managing Partner, no Venture Partner, Principal and Advisor is authorized to represent the Company.
